Non-Disclosure Agreement (NDA)

Effective Date: October 26, 2025

This Non-Disclosure Agreement (“Agreement”) is entered into between you (“User”) and Project AlliX (“Company”) as a condition of creating an account and accessing collaboration tools on the platform.

1. Confidential Information

Users may gain access to proprietary, confidential, or sensitive information, including but not limited to project ideas, business plans, financial data, code, designs, and personal details of other users (“Confidential Information”).

2. Obligations of the User

• You agree to maintain confidentiality of all information shared on Project AlliX.
• You shall not disclose, copy, reproduce, distribute, or otherwise exploit Confidential Information without explicit written permission from the owner.
• You shall use Confidential Information solely for evaluating or collaborating on projects hosted on Project AlliX.

3. Exclusions

This Agreement does not apply to information that: (a) is publicly available at the time of disclosure, (b) becomes public through no fault of the User, (c) is independently developed without reference to Confidential Information, or (d) is required to be disclosed by law.

4. Duration

This Agreement remains in force for as long as you hold an account with Project AlliX and for three (3) years after termination of your account.

5. Ban List & Enforcement

Violation of this Agreement may result in immediate suspension or permanent ban of your account. Banned users may not re-register without prior written consent of Project AlliX. The Company reserves the right to maintain and enforce a ban list against violators.

6. Governing Law

This Agreement shall be interpreted and enforced under universally recognized principles of contract and confidentiality law. Where jurisdictional conflicts arise, the Agreement shall be enforceable under the laws of the User’s primary residence and applicable international standards.

7. Acceptance

By registering for Project AlliX, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
